Purpose and Scope of the Role:

Execute end to end legal Corporate Governance assigned tasks at Company, in a progression that encompasses more responsibilities according level of incumbent, in order to promote / align and ensure Legal Corporate Governance standards for all departments and its relations with critical issues; in order to ensure Companies Legal Compliance.

Major responsibilities:

·         Execute assigned tasks such as corporate reporting, board minutes, fillings, shareholder resolutions, and government legal relationships.

·         Support the Identification and definition of the strategic objectives for Corporate Governance issues / frame at Comany in the medium and long term, by analyzing the Legal, economic and technological environment which is subject, their strengths, weaknesses, opportunities, and threats, and availability of appropriate resources, through of the hierarchizing of the portfolio of opportunities

·         Review, interpret, draft and/or negotiate a variety of policies and commercial contracts, including software license agreements, partner agreements.

·         Provide timely and practical legal advice to management in respect of complex, multi-jurisdictional information technology and digital transformation projects and will liaise with Company affiliates in respect of the same and will have well developed project management skills to ensure close coordination of legal and commercial work streams.

QUALIFICATIONS/ COMPETENCIES

Relevant commercial contracts experience.

Experience serving as corporate secretary to a sophisticated board of directors.

General corporate experience.

Experience providing concise and clear support to internal clients.
